Software Escrow Services
Guard-IT provides third-party escrow services to secure and preserve software source code, data, formulas, diagrams and other intellectual property. Clients can set up escrow agreements, submit deposit materials and perform other account management functions using our exclusive Client Tools.
Our services – often referred to as “software escrow”, “source code escrow” or “intellectual property escrow” – protect your technology assets by placing them with a neutral third party for safekeeping. The “escrow agreement” contractually defines the developer’s ownership of the deposit materials, the designation of clients, licensees, investors or other interested parties as beneficiary(ies) and specific terms (“Release Conditions”) that would trigger the release of the deposit materials to a beneficiary.
Multi-User escrow agreements give developers an extra layer of intellectual property protection, control of the basic escrow terms and the flexibility to add UNLIMITED beneficiaries to the agreement. Single-User escrow agreements are customized with specific terms and remain static among the technology developer, a single beneficiary and Guard-IT.
